Pennsylvania is currently in the green phase with Philadelphia in a modified green phase. Work setting and social restrictions are place during this time. Telework is encouraged, however, businesses with in person operations can operate at 75% occupancy, execpt for bars and restaurats. Restaurants are open to serve with outdoor seating.Personal Service businesses are open with limited capacity and by appopintment only. Everyone is required to wear a mask in businesses and public areas.

Per guidance, as of March 19th, Spina & Company PLLC, is open and operational. Please continue to email and mail your tax documents and organizers. If you need to drop off tax documents and organizers please do so as we are here working at the office.

Entity Formation

There are several forms to file in order to form an entity. Listed below are some common entities we form:

  • LLCs
  • LPs
  • Partnerships
  • S-Corporations
  • Condominium Associations

We will file all forms necessary to form your new entity completely and accurately. The following are the forms we will file on your behalf:

  • State Docketing Statement and Certificate of Organization
  • EIN Application
  • Philadelphia Application if applicable
  • Operating Agreement
  • PA-100 for payroll or sales tax if applicabl

Entity Dissolution Services

There are various steps involved to dissolve a business entity in Pennsylvania. We will file all forms necessary and take the appropriate steps to dissolve your entity.

Step 1: Ensure that all liabilities and filing requirements with the PA Department of Revenue are satisfied.

Step 2: Close all business accounts with the PA Department of Revenue, including but not limited to, Sales Tax, Employer Withholding, Corporation Tax and any other miscellaneous tax accounts.

Step 3: Once you obtain the Tax Clearance Certificates from the Departments of Revenue and Labor & Industry, the last step is to complete the proper paperwork with the PA Department of State to dissolve the entity
